1. Acceptance of terms

By installing or using the OfferGuard Shopify application ("Service"), you ("Merchant", "you") agree to these Terms of Service. If you do not agree, do not install or use the Service.

2. Description of the Service

OfferGuard is a Shopify app that helps merchants protect new-customer discount offers from abuse. The Service analyzes checkout signals — including email, phone, address, IP address, and device fingerprint — to determine whether a shopper qualifies as a new customer under rules configured by the merchant.

OfferGuard can block checkout for shoppers who do not meet the merchant's criteria and can apply post-order actions such as order tags, customer tags, risk assessments, and fulfillment holds.

3. Account and installation

  • You must have a valid Shopify store to use OfferGuard.
  • You are responsible for maintaining the security of your Shopify account.
  • You are responsible for the rules and configurations you create within the app.
  • You must comply with Shopify's Terms of Service and applicable laws when using OfferGuard.

4. Plans and billing

4.1 Free plan (Watchdog)

The Watchdog plan is free and includes up to 50 checkout evaluations per month and 1 active rule. Signals available: email, disposable email detection, and zero-total order detection.

4.2 Paid plans

  • Sentinel — $29/month. Unlimited evaluations and rules. All signals including phone, address, IP, and device.
  • Fortress — $79/month. Everything in Sentinel plus priority support and advanced analytics.

4.3 Billing terms

  • Paid plans are billed on a 30-day cycle through Shopify's billing system.
  • Both paid plans include a 7-day free trial.
  • You may upgrade, downgrade, or cancel at any time through the app or your Shopify admin. Changes are prorated.
  • Refunds are handled in accordance with Shopify's billing policies.

4.4 Usage limits

On the Watchdog plan, once the monthly evaluation limit is reached, subsequent checkouts will pass through without OfferGuard evaluation until the counter resets on the 1st of the following month.

5. Merchant responsibilities

  • Legal compliance — You are responsible for ensuring your use of OfferGuard complies with all applicable laws, including consumer protection, anti-discrimination, and data protection regulations in your jurisdiction.
  • Customer communication — If OfferGuard blocks a checkout, you are responsible for the messaging displayed to your customers. Block messages are configurable within the app.
  • Data controller obligations — As the data controller, you are responsible for having a lawful basis to process your shoppers' data through OfferGuard, maintaining an appropriate privacy policy on your store, and responding to data subject rights requests from your customers.

6. Data processing

OfferGuard processes shopper data solely to provide the Service. We act as a data processor on your behalf. Our processing activities are described in our Privacy Policy and Data Processing Agreement.

We do not sell, share, or use shopper data for any purpose other than providing the Service. We do not send data to third-party services — all processing occurs on our server and through the Shopify Admin API.

7. Intellectual property

OfferGuard and its associated trademarks, code, and documentation are our property. Your installation grants you a limited, non-exclusive, non-transferable license to use the Service for your Shopify store. You may not reverse engineer, copy, or redistribute any part of the Service.

8. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied.

  • We do not guarantee that OfferGuard will catch every instance of offer abuse.
  • We do not guarantee uninterrupted or error-free operation.
  • Checkout decisions are based on the signals and rules configured — false positives (blocking legitimate customers) and false negatives (allowing abusers) may occur.

9. Limitation of liability

To the maximum extent permitted by law, OfferGuard's total liability for any claims arising from the Service is limited to the amount you paid for the Service in the 12 months preceding the claim. We are not liable for any indirect, incidental, consequential, or punitive damages, including lost revenue, lost customers, or reputational harm.

10. Indemnification

You agree to indemnify and hold OfferGuard harmless from any claims, damages, or expenses arising from your use of the Service, your violation of these Terms, or your violation of any applicable law.

11. Termination

  • You may uninstall OfferGuard at any time through your Shopify admin.
  • We may suspend or terminate your access if you violate these Terms or if required by Shopify.
  • Upon termination, we will delete your data in accordance with our Privacy Policy and Shopify's data handling requirements.

12. Changes to these terms

We may update these Terms from time to time. Material changes will be communicated via the app dashboard or email at least 30 days before taking effect. Continued use of the Service after changes take effect constitutes acceptance.

13. Governing law

These Terms are governed by the laws of the Federal Republic of Germany. Any disputes arising from or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Germany.
